SERVICE.

1. Acceptance of Terms

By accessing our website at nextgensolutionsmidlands.co.uk or engaging NextGen Solutions Midlands Ltd ("the Company") for software engineering, web development, WooCommerce management, migration, or n8n workflow automation services, you agree to be bound by these Terms of Service.

2. Scope of Engineering Services

All client engagements are executed in accordance with signed statements of work, project specifications, or milestone proposals. Services include:

• Full-stack web application development and custom API integrations.
• WordPress and WooCommerce custom site creation and performance optimization.
• Platform migrations, database transfers, and zero-downtime cutover management.
• n8n automated workflow design and e-commerce store maintenance.

3. Intellectual Property Rights

Upon receipt of full payment for completed deliverables, all bespoke software source code, custom graphics, and proprietary application logic created specifically for the client shall transfer to the client, subject to standard open-source framework licenses (e.g. Next.js, React, Node.js, WordPress GPL).

4. Payment Terms & Milestones

Projects are billed according to agreed milestone schedules. Invoices are payable within 14 days of issue unless specified otherwise in writing. Late payments may result in temporary suspension of active development or staging server access.

5. Limitation of Liability

While NextGen Solutions Midlands Ltd follows strict security testing, code validation, and Core Web Vitals profiling, the Company shall not be liable for indirect, incidental, or consequential damages resulting from third-party hosting outages, internet service disruptions, or client-side unauthorized modifications.

6. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the English courts.
